GrowthMate AI — Terms of Service

1. Acceptance of Terms

By accessing growthmateai.net or using GrowthMate AI services ("Services"), you ("Client," "you," "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our website or Services.

2. Description of Services

GrowthMate AI provides done-for-you automation systems for local service businesses, including but not limited to:

• Voice AI receptionist
• Missed-call text-back
• Appointment booking and reminders
• Review request automation
• SMS and email follow-up sequences
• CRM and pipeline setup
• Lead capture funnels
• Customer reactivation campaigns

Services are delivered as configured automation systems set up on your behalf. Specific deliverables are defined in your selected plan (Starter or Pro).

3. Eligibility

You must be at least 18 years old and legally authorized to enter into a binding agreement on behalf of your business to use our Services.

4. Subscription & Billing

• Services are billed on a recurring monthly basis through Stripe.
• The first month is charged in full upfront before setup begins.
• Subsequent months are auto-billed on the same day each month.
• All fees are non-refundable except as expressly outlined in the 30-day guarantee (Section 5).
• You authorize GrowthMate AI to charge your provided payment method for recurring fees.

5. 30-Day Results Guarantee

If you do not receive at least one recovered lead or one new Google review within the first 30 days of your service going live, you may request a full refund of your first month's payment. Refund requests must be submitted in writing via email within 35 days of your service launch date.

This guarantee applies only to your first month and only if:

• You provided all required onboarding information promptly.
• You did not cancel or pause service during the 30-day period.
• You complied with all client responsibilities outlined in Section 7.

6. Cancellation

• You may cancel at any time after your first month with 30 days written notice via email.
• Cancellation takes effect at the end of your current billing cycle following the 30-day notice.
• No prorated refunds are issued for partial months.

7. Client Responsibilities

To deliver our Services, you agree to:

• Provide accurate business information during onboarding.
• Grant access to your Google Business Profile.
• Set up phone number forwarding as instructed.
• Respond promptly to setup-related communications.
• Use the Services in compliance with all applicable laws, including TCPA, CAN-SPAM, and telecom regulations.
• Not use the Services to send spam, unsolicited messages, or harmful content.
• Maintain your own customer relationships and service quality.

8. Acceptable Use

You agree NOT to use our Services to:

• Send spam or unsolicited communications.
• Violate any local, state, federal, or international laws.
• Violate telecom regulations including TCPA, A2P, or carrier guidelines.
• Engage in fraudulent, deceptive, or misleading practices.
• Harass, threaten, or harm any individual.
• Transmit viruses, malware, or harmful code.
• Attempt to reverse-engineer, copy, or resell our systems.

Violation may result in immediate suspension or termination of Services without refund.

9. Intellectual Property

• All systems, workflows, configurations, automations, and proprietary materials developed by GrowthMate AI remain the property of GrowthMate AI.
• You receive a non-exclusive, non-transferable license to use the Services during your active subscription.
• Upon cancellation, your access to GrowthMate AI systems ends.
• Customer data you collected during your subscription remains yours and will be exported to you upon request within 14 days of cancellation.

10. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement, including business operations, customer data, pricing, and proprietary processes.

11. Disclaimers

• Services are provided "AS IS" without warranties of any kind, express or implied.
• GrowthMate AI does not guarantee specific revenue increases, lead volumes, or business outcomes beyond what is outlined in the 30-day guarantee.
• We do not warrant that Services will be uninterrupted or error-free.
• Third-party platforms (Voice AI providers, SMS carriers, Google Business Profile) may experience outages outside our control.

12. Limitation of Liability

To the maximum extent permitted by law, GrowthMate AI's total liability for any claim arising from these Terms or the Services shall not exceed the total fees you paid to GrowthMate AI in the 12 months preceding the claim.

In no event shall GrowthMate AI be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost data, or business interruption.

13. Indemnification

You agree to indemnify and hold harmless GrowthMate AI, its affiliates, and its employees from any claims, damages, losses, or expenses arising from:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of any law or third-party right.
• Your communications sent through the Services to your customers.

14. Third-Party Services

Our Services integrate with third-party platforms (Stripe, Twilio, Google, etc.). Your use of those services is governed by their respective terms. GrowthMate AI is not responsible for third-party service availability, pricing changes, or policy changes.

15. Termination

GrowthMate AI may suspend or terminate your access to the Services immediately if you:

• Violate these Terms.
• Fail to pay fees when due.
• Engage in fraudulent or illegal activity.
• Use Services in a way that harms us, our infrastructure, or other clients.

16. Governing Law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Dallas County, Texas.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or posted on our website with an updated Effective Date. Continued use of our Services after changes means you accept the updated Terms.

18. Entire Agreement

These Terms, together with our Privacy Policy and any individual service agreement signed between you and GrowthMate AI, constitute the entire agreement between the parties.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
